Assistant General Counsel – Corporate Governance & Securities

Who are we looking for?

As our Assistant General Counsel (AGC) on the Corporate Governance & Securities team, you will work with a dynamic team of attorneys and legal professionals to support, advise and influence on an extensive range of matters involving the Company’s Board of Directors and Executive Officers, public company disclosures and securities regulation.

What will you work on?

This work will include the proper preparation and filing of the Company’s Form 10-Ks, 10-Qs, 8-Ks and Proxy Statements and responding to questions regarding United States securities laws. You will identify, analyze and counsel on legal and market practice developments, including changes in laws, regulations and policies.

Particular focus on regulation in the areas of Environmental, Social and Governance and web3, metaverse, non-fungible tokens and cryptocurrencies. Support and advise on various capital markets transactions, including credit facilities, commercial paper and bond offerings as well as mergers, acquisitions and divestitures.

Support the Office of the Corporate Secretary, within the Corporate Governance & Securities team, in the management and administration of board and committee meetings, communications and engagement, as well as, investor engagements and preparation and execution of the annual meeting of shareholders.

Who will you work with?

You will collaborate with various internal and external partners across legal and certain subject matters, including Accounting, Controlling and External Reporting, Investor Relations, Executive Compensation, Treasury, Tax, Purpose and Global Risk Management.

  • Juris Doctorate degree
  • Member, in good standing, of at least one U.S. State Bar and willingness to commit to membership in the Oregon State Bar
  • 5+ years of experience in the practice of general corporate law
  • Law firm experience in several of the following specialty areas is preferred: general corporate and transactional; securities; finance, including capital markets and lending; tax; mergers and acquisitions; secured transactions and executive compensation
  • Experience in a corporate legal department is a plus
  • Broad based understanding of general business practices
  • Strong leadership skills – able to influence at a variety of levels and across functions in a complex matrix organization
